General terms and conditions*

1. scope:

All legal transactions including offers to customers of VC Design GmbH, hereinafter referred to as "GREENWOODPROTECT" for short, shall be made on the basis of these Terms and Conditions of Sale and Delivery. Regardless of the form of the order, these Terms and Conditions of Sale and Delivery shall be the subject matter of the contract. Every customer who enters into legal contact with GREENWOODPROTECT declares that he is a customer within the meaning of the scope of these Terms and Conditions of Sale and Delivery. The provisions of the Consumer Protection Act are therefore expressly excluded for commercial customers. The validity of general terms and conditions of business and delivery of customers are expressly excluded. We recommend that you print out your order data immediately after sending your order together with the General Terms and Conditions on which the order is based. We do not store the text of the contract.

All offers and promotions in advertising materials and in the online store are valid only while stocks last. Unless otherwise stated, all prices are in euros including the respective statutory value added tax and plus a shipping charge. The amount of the shipping costs can be found under shipping costs, delivery and payment conditions in the respective online store.

2. purchase on trial - money back guarantee - test product

At GREENWOODPROTECT only private customers buy on trial, if the product is marked accordingly. - i.e. you can test delivered goods in their full functionality and return them without giving reasons within 30 days after receipt of the goods. The purchase contract / credit purchase contract becomes binding upon your approval after receiving the goods. The approval shall be deemed to have been given if you do not notify us otherwise within the 30-day approval period, nor return the delivered goods. After the approval you are furthermore entitled to the right of withdrawal described below. Purchase on trial/money back guarantee does not apply to commercial customers/purchasers/buyers.

3. right of withdrawal - cancellation policy

Private customers / buyers / purchasers have the right to withdraw from the online purchase within fourteen days without giving reasons this contract, except it is granted a longer withdrawal period and is shown directly in the product description. (eg. 30 days money back guarantee).
The right of withdrawal does not apply to commercial customers/purchasers/buyers.

The statutory withdrawal period is at least fourteen days from the day on which you or a third party named by you, who is not the carrier, have taken or has taken possession of the last goods. However, the period does not begin before the purchase contract has become binding for you by your approval of the purchased item.

To exercise your right of withdrawal, you must inform us of your decision to withdraw from this contract by means of a clear declaration (e.g. a letter or e-mail sent by post). You can also use the online cancellation form in the respective online store.

In order to comply with the withdrawal period, it is sufficient that you send the notification of the exercise of the right of withdrawal before the expiry of the withdrawal period.

3.1 Folgen des Widerrufs

Wenn Sie diesen Vertrag widerrufen, haben wir Ihnen alle Zahlungen, die wir von Ihnen erhalten haben, einschließlich der Lieferkosten (mit Ausnahme der zusätzlichen Kosten, die sich daraus ergeben, dass Sie eine andere Art der Lieferung als die von uns angebotene, günstigste Standardlieferung gewählt haben), unverzüglich und spätestens binnen vierzehn Tagen ab dem Tag zurückzuzahlen, an dem die Mitteilung über Ihren Widerruf dieses Vertrages bei uns eingegangen ist. Für diese Rückzahlung verwenden wir dasselbe Zahlungsmittel, das Sie bei der ursprünglichen Transaktion eingesetzt haben, es sei denn, mit Ihnen wurde ausdrücklich etwas anderes vereinbart; in keinem Fall werden Ihnen wegen dieser Rückzahlung Entgelte berechnet. Wir können die Rückzahlung verweigern, bis wir die Waren wieder zurückerhalten haben oder bis Sie den Nachweis erbracht haben, dass Sie die Waren zurückgesandt haben, je nachdem, welches der frühere Zeitpunkt ist.

Sie haben die Waren unverzüglich und in jedem Fall, spätestens binnen vierzehn Tagen ab dem Tag, an dem Sie uns über den Widerruf dieses Vertrages unterrichten, an uns zurücksenden. Die Frist ist bei paketfähiger Ware gewahrt, wenn Sie die Waren vor Ablauf der Frist von vierzehn Tagen absenden. Die Kosten der Rücksendung trägt der Kunde. Unfreie Pakete werden ohne Absprache mit uns nicht angenommen.

Sie müssen für einen etwaigen Wertverlust der Ware nur aufkommen, wenn dieser Wertverlust auf einen zur Prüfung der Beschaffenheit, Eigenschaften und Funktionsweise der Waren nicht notwendigen Umgang mit ihnen zurückzuführen ist.

3.2 Ausschluss/Erlöschen des Widerrufsrechts

Ein Widerrufsrecht besteht nicht bei Verträgen zur Lieferung von Waren, die nicht vorgefertigt sind und für deren Herstellung eine individuelle Auswahl oder Bestimmung durch den Verbraucher maßgeblich ist oder die eindeutig auf die persönlichen Bedürfnisse des Verbrauchers zugeschnitten sind und es erlischt vorzeitig bei Verträgen zur Lieferung versiegelter Waren, die aus Gründen des Gesundheitsschutzes oder der Hygiene nicht zur Rückgabe geeignet sind sowie alle Arten von Lebensmitteln. 4. Vertragssprache – Schriftform

Die Vertrags-, Bestell- und Geschäftssprache ist deutsch.
Jegliches Abgehen von diesen Verkaufs- und Lieferbedingungen bedarf der Schriftform.

5. Lieferung

Die Anlieferung der durch Kunden bestellten Waren erfolgt im Rahmen der bei den Produkten angeführten Lieferzeiten. Allfällige Liefertermine und Fristen sind grundsätzlich verbindlich. GREENWOODPROTECT haftet aber nur dann für einen etwaigen Verzugsschaden, wenn GREENWOODPROTECT bzw. deren Erfüllungsgehilfen ein grob fahrlässiges Verschulden trifft. Für einen Warenlieferungsverzug haftet GREENWOODPROTECT keinesfalls. Der Rücktritt vom Vertrag gemäß § 918 ABGB wird ausgeschlossen.

Mit dem Abstellen der bestellten Ware im Herrschaftsbereich des gewerblichen Kunden (z.B. Firmengelände) geht die Gefahr auf den Kunden über, auch wenn keine Übernahmebestätigung durch den Kunden ausgefüllt wird (z.B. Anlieferung außerhalb der Betriebszeiten)

6. Preise / Aktionspreise

Preise für Privatkunden verstehen sich als Bruttopreise (einschließlich der gesetzlichen Mehrwertsteuer) zuzüglich Versandkosten, sofern nichts anderes angegeben wird. Gewerbliche Kunden, sofern angemeldet und freigeschaltent erhalten Nettopreise (exklusive der gesetzlichen Mehrwertsteuer) zuzüglich Versandkosten, sofern nichts anderes angegeben. Die Gültigkeit von Preisen bezieht sich ausschließlich auf den Zeitpunkt der Bestellung. Die angegebenen Preise sind freibleibend. Preisliche Veränderungen und Irrtümer vorbehalten.

7. Zahlungsbedingungen

Sämtliche Forderungen sind unverzüglich nach Rechnungslegung ohne jeden Abzug zur Zahlung fällig. Eingehende Zahlungen werden zur Abdeckung der ältesten Schuld gewidmet, wobei zunächst auf Zinsen, dann auf Spesen bzw. Einbringungskosten und zuletzt auf das Kapital angerechnet wird.
Hinsichtlich aller gelieferten Waren wird ein Eigentumsvorbehalt vereinbart. Dies bedeutet, dass die Ware bis zur vollständigen Zahlung durch den Kunden, Einkaufsberechtigen oder Dritten im Eigentum von GREENWOODPROTECT verbleibt. Wir behalten uns vor, die Lieferung der Ware von einer Vorauszahlung abhängig zu machen.

8. Zahlungsverzug

Bitte beachten Sie, dass bei verschuldetem Zahlungsverzug zusätzliche Kosten anfallen.
Im Falle eines verschuldeten Zahlungsverzuges sind wir berechtigt, Bearbeitungsgebühren und Verzugszinsen in der gesetzlichen Höhe (§ 352 UGB) kontokorrentmäßig zu berechnen. Wir behalten uns vor die offenen Kosten per Gericht einzufordern oder an ein Inkassounternehmen abzutreten. Weiters verpflichtet sich der Kunde, Einkaufsberechtigte oder Dritte, die Kosten für die Beiziehung eines Inkassobüros oder Anwaltes zu ersetzen.

9. Elektronische Kommunikation

Sie stimmen zu, dass die vertragsbezogene Kommunikation in elektronischer Form erfolgen kann.

10. Privacy

We strictly adhere to the provisions of the Data Protection Act when using and processing your data. Your data necessary for the business transaction will be stored and, if required for order processing and the promotion of our own product and service range, transmitted to VC Design GmbH based in Austria as well as our partner companies based in the EU for customer support, delivery and contract fulfillment as well as for the creation and dispatch of promotional materials. Our partners have been carefully selected by us and are obligated to us in accordance with the legal provisions to handle your data with confidence and to comply with our own data protection standards. In particular, our partners are not permitted to pass on our customers' data to third parties for their own or advertising purposes.

If we make advance payments, for example in the case of a purchase on account, we process and transmit your data to various credit protection associations in order to protect our legitimate interests and for the purpose of credit checks.

This consent can be revoked by you at any time. In this case, please contact our customer service.

The customer agrees to receive advertising in any form (e.g. mailing, electronic media) from GREENWOODPROTECT. In the event of cancellation of advertising, the customer acknowledges that for organizational reasons the advertising material will continue to be delivered for a certain period of time after the cancellation. For this period, the customer waives the assertion of all conceivable rights in this respect against GREENWOODPROTECT.

10.1. Cookies – Webtracking – Social Plugin

On the homepages, blogs and online stores of GREENWOODPROTECT you will see personal recommendations. These are based on items that you have already viewed, searched for or purchased on a GREENWOODPROTECT page. This "information" is stored anonymously in a so-called cookie. Your personal data such as name, date of birth and address are not stored and a conclusion to your person is not possible.

Die jeweiligen Garantiebedingungen sind der Produktbeschreibung, die der Ware beigelegt ist, zu entnehmen. Wir anerkennen die außergerichtliche Schlichtungsstelle des Gütezeichens und des Internet-Ombudsmannes.

13. place of jurisdiction - applicable law

For all legal transactions, the application of Austrian law is agreed to the exclusion of the UN Convention on Contracts for the International Sale of Goods. In all cases, the competent court at the company location of GREENWOODPROTECT is agreed as the place of jurisdiction. Austrian law shall apply exclusively.
